These Terms & Conditions ("Terms") govern your use of VendiQ, a bookkeeping and profit-tracking service operated by Pivtl LLC, a company registered in Georgia ("VendiQ," "we," "us," or "our"). You can reach us at support@pivtl.io. By creating an account or using VendiQ, you agree to these Terms.
The service
VendiQ helps solo and small-business operators track business finances: Backroom (capturing and categorizing purchase costs from receipts), Events Hub (tracking revenue and costs per event or location, and a rolling profit/loss view), and Go (a text-message and voice line for logging expenses, sales, and receipts on the go). VendiQ uses automated tools, including AI, to extract and categorize information from what you submit — see "Automated processing" below.
Eligibility and accounts
You must be at least 18 years old and authorized to act on behalf of the business you register to use VendiQ. You are responsible for keeping your login credentials confidential and for all activity that happens under your account.
Subscriptions, billing, and cancellation
VendiQ is offered on monthly subscription plans (Lite, Plus, and Enterprise), each with a monthly usage allowance for receipt scans and texts. Go is included on Plus and Enterprise and available as a paid add-on on Lite. Current prices are shown on our Pricing page. Subscriptions renew automatically each month and are billed through Stripe.
Our Enterprise plan includes a monthly usage allowance well beyond typical needs. If your receipt scans or texts go beyond that included amount in a given month, additional scans and texts are billed at a flat per-unit rate (shown on our Pricing page) rather than interrupting your service, and are added to your next invoice. Any such usage-based charges already accrued for the current billing period remain owed even if you cancel before that invoice would otherwise have been issued.
New subscribers get a free 14-day trial (one per customer). Your card is charged when you start the trial, but you won't be billed until it ends. You can cancel anytime during the trial from our Billing page at no charge; if you don't cancel, your subscription automatically converts to a paid plan at the regular price when the trial ends. A promo code may extend your trial or apply a discount — its specific terms are shown wherever the code is offered.
You can change your plan (tier or the Go add-on) anytime from our Pricing page. Moving to a higher-priced plan takes effect immediately, and you're charged a prorated amount for the remainder of your current billing period. Moving to a lower-priced plan takes effect at the start of your next billing cycle — you keep full access to your current plan through the period you've already paid for, with no prorated refund for the unused time.
You can cancel your subscription anytime from the billing portal linked on your Billing page. Cancellation takes effect at the end of your current billing period — you keep access until then, and we do not provide prorated refunds for unused time except where required by law. We may change our prices with advance notice; continued use after a price change takes effect constitutes acceptance of the new price.
Text messaging (SMS) program terms
By providing your phone number and checking the consent box at signup, you agree to receive text messages from VendiQ for the purpose of logging business expenses, receipts, and sales. Message frequency depends on your own usage. Message and data rates may apply. Reply STOP to cancel at any time, or HELP for help. This messaging program is not intended for emergency communications, and carriers are not liable for delayed or undelivered messages.
Automated processing and accuracy
VendiQ uses AI to read receipts, transcribe and interpret text/voice messages, and suggest cost categories. These automated results can be wrong — before saving, you can review, edit, or delete any extracted line item. You are responsible for reviewing this information for accuracy; VendiQ is a tool to speed up bookkeeping, not a substitute for your own recordkeeping judgment or for professional accounting or tax advice.
Third-party services
VendiQ integrates with third-party services you may choose to connect, including point-of-sale providers (currently Square, with Clover and Toast planned). We are not responsible for the availability, accuracy, or performance of these third-party services, and your use of them is also governed by their own terms.
Acceptable use
You agree not to use VendiQ to submit unlawful, fraudulent, or abusive content; to attempt to disrupt or reverse-engineer the service; or to use the SMS/voice line for any purpose other than logging your own business's expenses, receipts, and sales.
Intellectual property
VendiQ and its underlying software, design, and branding are owned by Pivtl LLC. You retain ownership of the business data you submit; you grant us a license to process it solely to provide the service to you.
Disclaimer of warranties
VendiQ is provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the service will be uninterrupted, error-free, or that automated extraction/classification will always be accurate.
Limitation of liability
To the maximum extent permitted by law, Pivtl LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of VendiQ. Our total liability for any claim relating to the service will not exceed the amount you paid us in the 12 months before the claim arose.
Termination
You may stop using VendiQ and cancel your subscription at any time. We may suspend or terminate your access if you violate these Terms, misuse the service, or fail to pay applicable fees.
Governing law
These Terms are governed by the laws of Georgia, without regard to its conflict-of-law principles.
Changes to these terms
We may update these Terms from time to time. If we make material changes, we will notify you by email or through the app before they take effect. Continued use of VendiQ after changes take effect constitutes acceptance of the updated Terms.
